SEC Schedules Changes In Proxy Statement Data Washington Bureau of THE FILM DAILY Washington — Clarified data in respect to remuneration paid directors and officers v^^puld be required of proxy statements under proposed changes in SEC proxy rules. In addition to remuneration paid for services in capacities of directors and officers, payments for service in other capacities also vi^ould be disclosed. A breakdovsTi of the various types of remuneration paid to directors, nominees and the three highest-paid officers w^ould be required, as well as information as to indebtedness of associates, of directors, officers and nominees of the company, in addition to individual directors, officers and nominees. Management would be relieved of the necessity of including in proxy statements proposals submitted by security holders vi^here such proposals were submitted for the purpose of achieving personal ends rather than for the common good of the issuer and its security holders. Premature solicitation of proxies would be precluded by a provision that no proxy may confer authority to vote at any annual meeting other than the one following the solicitation. U. S. Drive-In Interests Open First Dominion Spot Toronto — First house to be opened by Drive-In Theaters in the invasion of Canada by U. S. outdoor theater interests was the Northwest Drive-In, near Malton, opened last week. Group, headed by Herb Ochs of Cleveland, will open its Ottawa Drive-In shortly, while others in Peterborough and Oshawa are expected to be opened late this month. Interstate Buys Minority Interests in 6 Theaters Dallas — In a further move to sever its joint interests with independent exhibitors, Interstate has purchased the minority interest of Paul Scott in a group of North Dallas neighborhood theaters. Scott, an exhibition veteran, is retiring from theater business to devote full time to his oil business. Mute Aussie Youngster in Youth Month Observance Arrangements for a six-year-old Australian youngster who lost his power of speech because of illness, to come to the U. S. during September and to participate in the industry's observance of Youth Month, have been completed by Charles Skouras, president of National Theaters, and head of the TOA drive. Young John Reid and his family will then proceed to Wichita, Kans., where arrangements have been made for the boy to be retrained at the Institute of Logopedics, headed by Dr. Martin F. Palmer. MPEA Czech, Polish and Bulgar Pix Deals on % While the MPEA is selling U. S. pix to the state film monopolies in Czechoslovakia, Poland and Bulgaria, deals in those countries are on a percentage basis, with no outright sales made, it was said at the MPEA yesterday. Published Budapest dispatch had indicated that the MPEA made outright sales in the three countries. Full Time Provided for In New Jessel-Fox Pact IVest Coast Bureau of THE FILM -DAILY Hollywood — George Jessel has signed a new five-year producer contract with 20th-Fox, superseding his previous agreement, which had a year to run. Fire which followed the trem'--', resulted in destruction of a nuiw of MPEA prints. Toho TheateP in Fukui was the scene of the deaths of over 1,000 patrons watching a native pic when the quake occurred. All six houses in Fukui were levelled.
