Section 1. — Election and Qualifications: The officers of the Company shall be a President, Vice President, Treasurer, Clerk and Secretary. The Vice President shall keep himself fully acquainted with the business and affairs of the Company, and in the absence or disability of the President, he shall possess all the powers and shall perform all the duties of that officer. Section 4. — The Treasurer: The Treasurer shall have custody of and shall be responsible for all the monies and securities of the Company shall keep at the office of the Company in the City of New York, in books belonging to the Company, full and accurate records and accounts showing the transactions of the Company; shall make only such expenditures as are authorized by the Board of Directors either directly or through the Executive Committee, and shall submit receipts and vouchers for such expenditures.
