Within a few hours after offering 665,715 shares of Twentieth Century-Fox Film Corporation $1.50 no-par convertible cumulative preferred stock at $33.50 a share last Monday, Lehman Brothers and Blyth & Company, Inc., leading a nationwide underwriting group, announced the offering had been oversubscribed and the books closed. The shares offered had been owned by the Chase National Bank of the City of New York, and represented approximately 73 per cent of the 905,081 shares issued and outstanding as of July 13, 1943. The corporation will not receive any proceeds from the sale. The $1.50 preferred stock is convertible into common stock on the basis of 1J4 shares of common for each share of preferred, and is callable on 45 days' notice at $35 and accrued dividends. Conversions can be made up to within five days of the date of redemption. The $1.50 preferred is also entitled to the benefit of an annual retirement fund equal to five per cent of consolidated net earnings after deducting an amount equal to the full cumulative dividend requirements on such stock for the year. In addition to 905,081 shares of $1.50 convertible preferred stock, the company has outstanding 1,742,000 shares of no-par common and 100,000 shares of $4.50 dividend prior preferred sold recently in connection with the purchase of control of National Theatres Corporation from the Chase National Bank. National Decency Legion Gives Two "B" Ratings The National Legion of Decency this week gave "B" (Objectionable in Part) classifications to Warners' "The Constant Nymph" and Paramount's "For Whom the Bell Tolls." In all, the Legion reviewed six films. The listing follows : Class A-l, Unobjectionable for General Patronage : "Hers to Hold" and "Silver Spurs." Class A-2, Unobjectionable for Adults: "Appointment in Berlin" and "So Proudly We Hail." Class B, Objectionable in Part: "The Constant Nymph" and "For Whom the Bell Tolls." The Legion described the "Constant Nymph" as "reflecting the acceptability of divorce," and concerning "For Whom the Bell Tolls," stated: "The story is set against the background of the recent Spanish Civil War," also noting in its findings "excessive brutality." Navy Promotes Thomas Orchard Thomas Orchard, formerly assistant to Louis de Rochemont, March of Time producer, last week was promoted to lieutenant commander in the Navy. At the present time he is engaged in making films for the Industrial Incentive Division of the Navy. Dr. Harvey R. DeBra Dies Dr. Harvey R. DeBra, father of Arthur De Bra, MPPDA executive, died at his home in Syracuse, N. Y., at the age of 82, on Wednesday, July 14th.
