Bach of those present stated thet he hed received ah executed copy of the above memorandum from the owner of the stock which he represented at/the meeting, with the direction to vote for such a resolution; and that the following resolution was adopted at the annual meeting of the stockholders of the corporation held April 17, 1955:
“WHEREUPON, a resolution was made, seconded and unanimously adopted that United artists Corporstion cause to be organized a corporation to be known as 'Umited Artists Finance Corporation’, or such other name as might be approved by United artists Corporation, pursuant to the laws of the State of California, in keeping with the above recommendations, and thet the attorney for the corporation be organized to proceed with the organization of that corporation as and when the Board of Directors of United Artists Corporetion deem the same desireable.”
