The adjourned meeting of the Soserd of Directors of the United Artists Corporation was held at the New York office of the Corporation, 729 Seventh Avenue, New York City, on August 10, 1955 et 4 o'clock in the afternoon.
There were present the following directors:
JOSEPH M. SCHENCK DENNIS F. O'BRIEN HARRY D. BUCKLEY — BERTRAM S. NAYFACK . JAMES A. MULVEY — ATHAN BURKAN
constituting a quorum of the directors.
There were also in attendance Mr. Al Lichtmen, Vice President, and Mr. William P. Philips.
Mr. Joseph M. Schenck and Mr. Bertram S. Nayfeck acted as Cheirman and Secretary respectively of the meeting.
The minutes of the regular meeting of the Board of Directors held on August 1, 1953 and the adjourned meeting held — August 5, 1955 were read and duly epproved.
Mr. Neyfack stated thet certein modifications hed been made in the documents submitted to the Board of Directors at its previous meeting, regerding the Twentieth Century Pictures, Inc. and desired to submit for the approvel of the Boerd of Directors the following documents in so fer as this corporation is affected »y the seme, with the following explanation:
That the Twentieth Century PictdPes, Inc., one of
the producers whose motion pictures are to be distributed by the United Artists Corporation has entered into, or is ebout to enter into, an sgreement with the Bank of America Nationel Trust & Sevings Association whereby seid Twentieth Century Pictures, Inc. will borrow certain moneys on, or in connection with, the first seven
(7) motion pictures produced by it from Bank of America Netionel Trust & Savings Association, e Californie bank, the amounts to be borrowed being not in excess ot $200,000 in connection with each motion picture, end the a ate at eny one time outstanding not to be in excess of $1,000, . The agreement prepared in connection with said transection was presented to and read to the meeting.
