LOYD WRIGHT, being by me first duly sworn, deposes and says: That he is a resident of the County of Los Angeles, State of California, and is an officer of UNITED ARTISTS CORPORATION, & Delaware corporation, to-wit, the Secretary of said corporation. That acting in hig capacity as Secretary of said corporation and pur suan't to its By-Laws, your affiant did, on January 15th, 1937, send a notice of the time and place of a special meeting of the Board of Directors of said corporation, to each Director of said corporation, said special meeting having been called for January 20th, 1937, at the hour of 2:00 o'clock P, M., at 1041 North Formosa Avenue, Hollywood, California; that said notice was sent by telegram as required by the By-Laws of said cofporation, and that true copies of said notice are hereunto annexed to this affidavit. t ’ SUBSCRIBED AND SWORN TO BEFORE ME ‘@ 15th DAY OF JANUARY, 1937.
