Dr. Giannini then introduced a discussion with reference to the Laughton-Pommer releasing contract negotiations and reviewed the, entire transaction as it has occurred by cablegram and selephoné~csuvessaticn. Dr. Giannini read several cables from Messrs. Korda, Silverstone and Guedalla, as well as cables from Dr. Giannini to Mr. Silverstone and Mr. Korda with reference to this matter. By common consent any action with reference to the Laughton-Pommer matter was deferred, and the President then introduced a discussion of the request of Alexander Korda and London Film Productions Limited for a loan of funds by United Artists Corporation. The President read eevexat cablegrams with reference to the matter and after extended discussion, a motion was made by Mr. Benjamin and seconded by Mr. Cohen, that the loan of funds by United Artists Corporation to London Film Productions Limited be granted, upon the terms suggested in Mr. Korda's latest cable. Mr. Cohen, in seconding the motion, stated that he realized that a question had been raised as to his qualification, as the proxy of Mr. Korda, to second the foregoing motion. After some further discussion, 'the President stated the question, whereupon the stockholders veted on the adoption of said motion as follows: 3 AYE: Messrs. Cohen and Benjamin; NOs Messrs. Chaplin, Fairbanks and McKay. The President declared the motion lost.
