Be it further, RESOLVED, that the attorneys for this corporation in England be fully advised and be directed to watch the interests of this corporation and its subsidiaries, so that in the reorganization of said Odeon Theatres, the balance of voting power and the position of this corporation as now maintained shall not be disturbed. On the statement of the question by the President, Messrs. Chaplin, Fairbanks and McKay voted in the affirmetive, and Messrs. Cohen and Benjamin did not vote. The President declared the motion carried. The President read to the meeting 4 cablegram from Mr. Korda wherein. Korda requested the stockholders to take action by which the employment of Mr. Guedalla as London counsel should be immediately terminated and that he also be removed as a director.
