LOYD WRIGHT, being by me first duly sworn, deposes and says: That he is a resident of the County of Los Angeles, State of California, and is an officer of UNITED ARTISTS CORPORATION, a Delaware corporation, to-wit, the Secretary of said corporation. > ‘That acting in his capacity as Secretary of said a . corporation and pursuant to its By-Laws, your affiant did, on April 15th, 1937, send a notice of the time and place of a special meeting of the stockholders of said corporation, to each stockholder of said corporation, said special meeting having been called for Tuesday, April 20th, 1937, at the hour of 3:00 o'clock P. M,, at 202 North Canon Drive, Beverly Hills, California; that said notice was sent by telegram as required by the By-Laws of said corporation, and that a true co py of said notice is hereunto annexed to this affidavit.
