Roosevelt wished it stated in the minutes that he was not voting on the Lesser deal because he felt that the deal hed been substentially changed, since it had been originally submitted to a directors’ meeting described as "the Lubitsch deal”, end sufficient time and study hed not been given to the study of the revised proposal. The General Manager then informed the meeting that Ernst lLubitsch and Sol Lesser had entered into an agreement ‘dated March 20, 1939, under which four pictures are to be made by these parties, such pictures to be directed and was given the right to cancel such agreement for any reason, upon the completion of the first picture and a similar right upon the completion of the second picbure. The General Manager then called attention to the cleuse contained in such agreement, for the benefit -of this compeny, reading as follows: "You agree to deliver to the United Artists Corporation an instrument under which you agree as follows: that in case your Sage, oe gre contract with the company is telminhtg er the making of the first or second picturss, United Artists Corporation will have the option to require you to enter into a similar contract of employment under which United Artists will agree to procure the financing of tue remaining pictures contemplated to be made hereunder upon substantially the same terms and conditions as herein contained, including the compensation payable to you end your 50% interest in such pictures , 3 = P “ ee, Se | Foe ee
