The General Maneger read this offer in ‘ite entirety to the meeting, end a copy thereof was directed to be affixed to and made part of these minutes. After discussion, the following resolution was ne moved by Mr. Charles Schwartz and seconded by Mr. Emanuel Silverstone: RESOLVED, that the offer of Mr. David Loew Gated March 26, 1939, as presented to this meeting of the Board of Directors by the General Manager on April 4, 1939, be aeccépted, and thet General Counsel for the corporetion be instructed to draw an agreemen incorporating the terms of this. i such agreement to be in form agreeable to the General Menager, end that the . General Manager be and he is hereby authorized to execute such agreement on behalf of the company. : The resolution was put to a vote and was carried, the four directors voting in favor being Messrs. Schwertz, O'Brien, E. Silverstone and Caruso. Mr. Roosevelt asked to be recorded as "Not Voting,” because he felt that the Board did not heave sufficient notice of this contract and the reading of the proposal by the General Manager raised certein points, specifically the provisions of (ia ad of Mr. Loew's letter to United Artists, the wisdom of which Mr. Roosevelt felt should be more carefully considered from the point of view of determining the advisability. of plecing upon United Artists i s
