19. GOLDWYN LITIGATION the Directors asked for @ report on the status of the Goldwyn litigAtion. Mr. Raftery reported that Mr. Goldwyn had commenced an action in the Supreme Court, New York County, which had been removed by counsel for the company to the United States District Court, Southern District of New York; thet in opinion of counsel complaint was defective in many respects and that before a motion could be made to dismiss Mf. Goldwyn voluntarily discontinued the action. He then commenced s second action in the United States District Court in Delaware. Hon, George Wharton Pepper and Col. Robert H. Richards have been retsined as local counsel, to work in co-operation with counsel for the company. Thet the second Complaint, in the opinion of counsel, was likewise defective in many respects. That on April 28, 1939 a motion to dismiss the complaint nad been filed in Deleware; that on May 1, 1939, Mr. Goldwyn filed a third complaint in Deleware and that counsel had not had an opportunity to fully determine whether the new complaint was likewiserdefective; that at the next meeting a report would be given as to whether a motion to dismiss would be made, or an enswer on the merits filed. There being no further business before the meeting, upon motion duly made snd seconded, the same adjourned. e 5/2/39 p.6
