Gentlemen: On or about the 12th day of May, 1939, you entered into an agreement, in writing, with Selznick International Pictures, Ine., one of your producers, dated that day, whereunder the distribution agreement theretofore existing between you and the said Selznick International Pictures, Inc. was amended so as to give said Selznick International Pictures, Incl all of the benefits provided for tm the so-called Silverstone Plan, also known as the Producers’ Fund. | ~Please be advised thet, in our opinion, the said Silverstone Plan has reference to the “handling, @istributing, exhibiting and advertising of feature motion picture photoplays, end the charges made by the Distributor in connection therewith" within the meaning of the said terms sa used in peragraph "Thirteenth® of the written agreement between us known as our Distribution eement with you, to which you and we are parties and which is dated July 22, 1936 and in which you are termed the "Distributor".
