as the terms thefeof have reference to and provide for the handling, distributing, exhibiting and advertising of feature motion picture photopleys and the charges made by you in connection therewith, and for that reason we have exercised the option conferred upon us in said paragraph "Thirteenth" of said Agreement and do hereby again declare that our said Distribution Agreement is amended so that the said Silverstone Plan, or Producers’ Fund, is part of our said Distribution Agreement. In accordance with the terms of the said Silverstone Plan and in accordance with the written and certified report issued by Price, Waterhouse & Co, dated August 25, 1959, there has been and is due and owing to us under the said Plan the sum ates the immediete payment of which sum is again demanded. Please be further advised that this notice is sent to you in accordance with subdivision “p" of paragraph "Eleventh" of our said Distribution Agreement, because of. your failure to comply with our prior demands for the payment of the said $54,559.26, which failure we have deemed to be, and do héreby repeat is, a meterial .violation by you of the terms of our said Distribution Agreement.
