There were present: Henry M. Marx Milton A. Kramer Philip F. siff 3. Clande Millis Herbert P. Jacoby Rex Dennant . Herman L. Weisman Frenklin Cole Edward C. Raftery constituting a quorum. There were also present Harry J. Myller, Assistaht Secretary and, during part of the meeting, Gradwell L. Sears, Vice President. Mr. Raftery acted as Chairman and Mr. Muller acted as Secretary. 1. NOTICE OF Meeting The meeting was called pursuant to telegraphic notice attached to these minutes. 2. MIMTES OF PREVIOUS MEETING The minutes of the previous meeting having been distrituted to all directors and stockholders, Mr. Mills movel to dispense with the reading of them. Mr. Jacoby seconded the motion and it was carried. 3. APPEAL FROM DECREE IN U.S. YS. PARAMOUNT The Chairman distributed a printed booklet headed "Memorandum in Regard to the Final Decree entered in the Case of U.S. ve. Paramount, et al’. He stated, that we must decide whether or not to appeal before February 28,1947,
