12 PRODUCER'S RIGHT OF APPROVAL OF EXHIBITION CONTRACTS Producer shall have the right to designate a representative for the territories hereinafter specified. Producer shall bear all the expenses of such representative. Such representative must have an office in such territory reasonably proximate to United’s office. The territories and the location of United's offices are as follows: Territory Central Location United States and Canada New York British Isles London Australia Sydney The representative designated by Producer must represent “Producer alone. Producer may not designate a representative who represents more than one producer. If Producer has designated a representative for-any sueh territory United shall submit each proposed written contract for the marketing of each cf Producer's motion pictures to Producer's represen.tative in that territory. No such contract shall be accepted by United if within three (3) succeeding business days following the date on which said proposed written contract has been received hy Producer or its representative Producer or its representative shall return such proposed contract te United with its written rejection noted. Should Producer or its representative reject any such proposed contract Producer or its representative shall have fourteen (14) days from the date of rejection in which to obtain a more favorable contract. Should Producer or its representative fail so te do the original contract shall ipso facto be deemed approved unless Producer or its representative shall have designated its original rejection as final. No proposed contract on which the rejection has been designated as final shall he entered into by United. Should Producer or its representative at any time agree in advance with United upon the rental terms or license fees for the distribation, exhibitien or marketing of any motion picture in any specified theatre or situation, United shall not be obligated to submit the contract to Producer or its representative for approval.
