Suggestion was made to an im- portant official involved that the sale of the non-voting shares of G-B might not infringe on 20th-Fox holdr ings, which would permit Maxwell and the Ostrers to form their al- liance without ever consummating a sale for. the voting -shares.- This would let 20th-Fox out, it was thought, because it did away with - the legal'interpretation of the 20'h- Fox deal with Gaumont-Brjtish. by which, the latter cannot sell without consulting the American company. Opinion of TWcntieth-Fox execs on this point, however, is that 'the intent/ in such a Case, would form a strong basis for litigation and, be- sides, 20th-Fox owns no non-voting shares, Meantime, shrewd - professional agitators are buying small blocks-of stock in the open market with the intention of creating disturbances at' the forthcoming annual Gaumont- British meeting, already overdue. Meeting Is to be held today (13) to elect Maxwell to the board and a number of strong objections to' such an action are expected. Close observers of the situation here are of the opinion that, despite all the shouting- and threatening,' peace will result by way of Maxwell also buying the 20th-Fo'x holdings, but this may take some time and may Involve some preliminary court action. Known in the trade that 20th-Fox would be satisfied, to sell for $8,500,000. Maxwell about a month ago, of- fered to' buy hot only the Ostrers* shares in GB, but also those of 20th Century-Fox. Maxwell's purchase of control of Gcumcnt-Brltish is said to have been actuated through certain banking in- terests in London. The National Pro- vincial Bank, bankers for Maxwell as well as the Ostrers, is said to have been desirous of having Maxwell join the Gaumont situation for some time. When William Fox bought con- trol of Gaumont for the old Fox Film some years ago. he paid ap- proximately $10,000,000 for it. The Maxwell deal is the biggest of its kind since the Bill Fox transact tion. Maxwell, through control of GB, would become the operating head of a chain of more than 600 theatres of the. United Kingdom, and aggregately his Associated British cinemas, including British International Pictures, and Gau- mont-British, would represent up- ward of $120,000,000-in combined as- sets. The combined organization would! comprise a virtual monopoly in 4h* • British production and' exhibition field.
